YADAYADA, Inc. Effective Date: 17 September, 2025 1. Acceptance of Terms By accessing or using the AskYADAYADA tool (“Tool”), you agree to be bound by these Terms of Service (“Agreement”). If you do not agree, you may not access or use the Tool. Continued use constitutes ongoing acceptance of this Agreement. The Tool is powered by ChatGPT, an artificial intelligence system. This Agreement incorporates by reference the ChatGPT Terms of Service, which apply fully to your use of the Tool. 2. Eligibility Use of the Tool is restricted to licensed healthcare professionals, or individuals employed by or employing licensed healthcare professionals, all acting within your scope of practice. By using the Tool, you represent and warrant that you meet these eligibility requirements. 3. User Responsibilities     •    HIPAA Compliance. You acknowledge and agree that the Tool itself is not designed to be HIPAA-compliant and must not be used to transmit or store Protected Health Information (PHI).     •    No Patient-Specific Identifiers. You agree not to input any patient-specific identifying information into the Tool. This includes but is not limited to names, dates of birth, addresses, contact information, medical record numbers, or any other personally identifying data.     •    Authority. You represent and certify that you have authority to execute this Agreement on behalf of the users of the Tool.     •    Independent Judgment. The Tool is intended as an aid to assist health care providers. You agree that the Tool is not a substitute for your own independent clinical, medical, or professional judgment. You remain fully responsible for all patient care decisions.     •    Proper Use. You agree not to use the Tool for any illegal, fraudulent, or improper purpose.     •    Assessment Obligation. You agree to provide YADAYADA, Inc. with feedback or assessments regarding the accuracy and performance of the Tool, upon reasonable request.     •    Copying/Reverse Engineering. You agree not to, and will not permit others to: (a) copy, modify, or create derivative works of the Tool, in whole or in part; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Tool, except to the extent such activities are expressly permitted by applicable law notwithstanding this limitation; (c) distribute, transfer, sublicense, lease, lend, rent, or otherwise make the Tool available to any third party or any other person who is not authorized to use the Tool and who has not executed this Agreement; or (d) use the Tool for any purpose or in any manner not expressly authorized under this Agreement. 4. Disclaimers     •    The Tool is provided “AS IS” without warranties of any kind, express or implied.     •    YADAYADA, Inc. is not storing any patient information.     •    The Tool may provide incomplete, outdated, or incorrect information. You acknowledge and accept this risk.     •    The Tool is not a licensed health care provider and does not provide medical, legal, or professional advice. You remain solely responsible for patient care decisions and outcomes.     •    YADAYADA, Inc. does not warrant that the Tool will be error-free, uninterrupted, or free of harmful components or output. 5. Limitation of Liability and Damages To the maximum extent permitted by law:     •    YADAYADA, Inc. its affiliates, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to errors in output, reliance on information provided, patient outcomes, or loss of data.     •    Total liability and/or damages for any claim related to the Tool shall not exceed the fees paid by You, if any, in the three (3) months preceding the event giving rise to the claim.     •    YOU AGREE TO INDEMNIFY YADAYADA, INC. FROM AND AGAINST ANY CLAIM OR DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE TOOL. 6. Termination YADAYADA, Inc. reserves the right, in its sole discretion, to suspend or terminate your access to the Tool at any time, with or without cause or notice. You may discontinue use at any time. 7. Modifications YADAYADA, Inc. reserves the right to modify these Terms of Service at any time. Updated terms will be posted, and continued use constitutes acceptance of the updated Agreement. 8. Governing Law and Jurisdiction This Agreement shall be governed by and construed under the laws of the State of Utah, without regard to its conflict of laws principles. You agree to venue in the State of Utah. You agree that any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in Utah. 9. Entire Agreement This Agreement, together with the ChatGPT Terms of Service, constitutes the entire agreement between you and YADAYADA, Inc. regarding your use of the Tool and supersedes all prior or contemporaneous understandings. This Agreement may not be modified by you except in a writing modification accepted by YADAYADA, Inc. in a writing that indicates that this Agreement is being modified by such writing. BY USING THE TOOL, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS.
